By registering and/or using Frea, the User is deemed to have read, understood, understood and agreed to all the contents in these Terms and Conditions. These Terms and Conditions are a form of agreement as outlined in a valid agreement between the User and Frea Technology Pte Ltd. If the User does not agree to one, part, or all of the contents of the Terms and Conditions, the User is not allowed to use the Frea service.
Frea is Frea Technology Pte Ltd and all of its affiliates or subsidiaries, a limited liability company that runs the Frea application service business and all derivative sites belonging to Frea Technology Pte Ltd, such as a search site for home-produced Food sold by the Seller.
Site/Application is the www.frea.io site and all derivative sites belonging to Frea, including but not limited to the Frea application which can be accessed through the desktop site, mobile web, and/or applications based on Android or iOS.
Users are parties who use Frea services, including but not limited to Frea Sellers, Partners or other parties who just visit the Site/Application.
Partner is a party that assists Frea in carrying out Frea's business activities, including but not limited to logistics, operations, legal, marketing, or Website/Application developers.
Seller is a User who acts as a registered Seller who takes action to sell home-produced food and/or offers cooking services to Frea application users.
Food is tangible/physical food that can be delivered / fulfils the delivery criteria by the seller who provides delivery services.
Seller's balance is an escrow account which is a temporary storage of Seller's funds (not a fund storage facility), provided by Frea to facilitate Sellers in transacting through the Site/Application.
Terms and Conditions are the Terms and Conditions for using the Frea application.
Frea services can only be used by Users who have registered, agreed to these Terms and Conditions and who have been verified according to Frea's policies.
Frea Service hereby declares that the Seller is a competent person and is able to bind himself in a valid agreement according to law.
Frea does not charge a registration fee to Users.
Frea has the right to use User data to search for indications of manipulation, violation or use of Frea features for User's personal gain, as well as indications of fraud or violation of these Terms and Conditions, Site Terms, and/or legal provisions that apply in the territory of Singapore.
Frea has the right, without prior notice, to take necessary actions including but not limited to discontinuing the use of the Site/Application, canceling transactions, withholding funds, lowering reputation, closing accounts, and other matters if manipulation, violations or violations are found. use for the personal benefit of the Seller, as well as indications of fraud or violation of these Terms and Conditions, Site Terms, and/or applicable legal provisions in the territory of Singapore.
Frea reserves the right to make changes to these Terms and Conditions.
C. Submission as a Seller
To become a Seller, the User must submit an application through the form provided by Frea.
The verification process will be carried out by Frea within 2x24 hours or another period according to Frea's policy.
The Seller guarantees and is responsible for the validity of the information and documents provided in submitting an application to register as a Seller.
The Seller agrees that the information and documents provided at the time of registration may be shared and/or submitted by Frea to third parties for the verification process or other activities in connection with the Seller's registration.
The seller agrees and authorizes Frea to collect and process the information contained in the Seller page form on the Site/Application.
The user agrees and authorizes Frea to provide information and/or other relevant data on the Site/Application required by Frea.
D. Account, Password, and Security
Frea without prior notification to the User, has the authority to take necessary actions for any alleged violation or violation of these Terms and Conditions and/or applicable law, namely actions in the form of account suspension, and/or deletion of the User's account.
Users are prohibited from creating and/or using devices, software, features and/or other tools aimed at manipulating the Frea system, including but not limited to: (i) data manipulation; (ii) browser activities (crawling/scraping); (iii) automation activities in transactions, buying and selling, promotions, etc.; and/or (iv) other activities that can reasonably be assessed as an act of system manipulation.
Frea has the authority to take necessary actions that result in the Seller not being able to use the Seller's Balance if fraud is found/suspected in a transaction and/or a violation of these Terms and Conditions and/or the Site Terms.
The user is personally responsible for maintaining the confidentiality of the account and password for all activities that occur in the user's account.
Frea will not ask for the username, password or verification SMS code or one time password code (“OTP”) belonging to the User's account for any reason, therefore, Frea urges the User not to provide such data or other important data to parties on behalf of Frea or other parties whose safety cannot be guaranteed.
User agrees to ensure that User logs out of the account at the end of each session and notifies Frea of any unauthorized use of User's password or account.
User hereby declares that Frea is not responsible for any losses or problems arising from misuse of User accounts caused by User negligence, including but not limited to lending or giving account access to other parties, accessing links or links provided by other parties. , provide or show the OTP verification code, password or email to other parties, or the negligence of other Users which results in losses or problems in the User's account.
The seller cannot transfer, transfer, give and take any form of transfer of the amount of funds in the Seller's Balance to other parties, whether or not related to the Seller.
The seller may withdraw the Seller's Balance with the following conditions:
Withdrawal of funds between banks will be processed within 2x24 hours of working days, while withdrawals of funds between banks will be processed within 3x24 hours of working days.
In the event that there is an alleged violation of Frea's Terms and Conditions, fraud, manipulation or crime, the Seller understands and agrees that Frea has the right to take action to check, postpone and/or cancel the withdrawal of funds made by the Seller.
The examination and/or postponement of the withdrawal of funds as referred to in letter c above can be carried out within a period that is fully determined by Frea.
Users are required to transact through the transaction procedures that have been determined by Frea.
When purchasing Food, the User agrees that:
Users are responsible for reading, understanding, and agreeing to the information/description of the entire Food (including but not limited to food ingredients, expiration time, taste compatibility, cooking methods, etc.) before making an offer or commitment to buy.
The User acknowledges that the actual color of the Food as seen on the Site/Application depends on the User's electronic device. Frea has made best efforts to ensure that the colors in the photos displayed on the Site/App appear as accurate as possible, but cannot guarantee that the color appearance on the Site/App will be accurate.
The user enters into a legally binding contract to purchase Food when the user purchases a dish.
Users can apply for food returns if the food received is completely different or there is no resemblance at all to the image uploaded on the food listing.
The User understands and agrees that the availability of Food stock is the responsibility of the Seller who offers the Food. The availability of food stock can change at any time, so that in the event that the stock of Food is not in accordance with or less than the amount ordered by the User, the Seller will continue to deliver according to the stock it has, where the difference in payment due to the difference in the amount of stock and delivery is returned to the User. .
The User fully understands and agrees that all transactions made between the User and the Seller other than through the Site/Application and/or without Frea's knowledge (through private facilities/network, sending messages, special transaction arrangements outside the Site/Application or other efforts) are personal responsibility of the User.
Frea has full authority to refuse payment without prior notification.
User agrees not to notify or submit proof of payment and/or payment data to parties other than Frea. In the event of a loss due to notification or submission of proof of payment and/or payment data by the User to another party, then this will be the responsibility of the User personally.
User is required to confirm the receipt of the Food, by signing all documents related to the receipt of the Food provided by the delivery service provider or Partner, after the User receives the delivery of the Food purchased.
The User understands and agrees that the User can only accept the Food in its entirety, if the User is not willing to accept part of the amount of Food sent for certain reasons, the User must refuse the acceptance of the Food in its entirety where the refusal and the reason will be stated in the document related to the delivery of the Food. which must be signed by the User.
The Seller understands and agrees that any claim that is filed after the User's receipt of the Food receipt document is signed, is not Frea's responsibility but the Seller's personal responsibility.
The User understands and agrees that any Food delivery problems caused by late payment are the responsibility of the User.
Refunds from Frea to Users, either partially or wholly, can only be made in the following certain circumstances:
User refuses to accept all Food delivered by Seller, due to certain reasons stated in the document related to Food delivery which must be signed by User.
Overpayment from User over the price of Food,
Food delivery issues have been clearly identified from the Partner which resulted in Food orders not arriving,
The seller cannot accept orders due to running out of food stock, or other causes,
The Seller has agreed to deliver the Food, but the Seller does not deliver the Food until the time limit has been set.
The logistics partner has agreed to deliver the Food, but the Partner does not deliver the Food until the time limit has been set.
Resolution of problems through Frea's internal team in the form of a decision to refund to the User or the result of a decision from Frea.
In the event of a refund process, the refund will be made manually to the user's destination account directly, where the refund will be made within a maximum period of 1x24 hours from the submission or other period determined by Frea.
Frea has the authority to facilitate and determine solutions to unresolved transaction problems due to the absence of a settlement agreement, both between the User and the Seller, by looking at the available evidence. Frea's decision is final and cannot be contested and binds Users and Sellers to comply.
The user is required to make a payment with a nominal that corresponds to the amount of the bill along with the unique code (if any) listed on the payment page. Frea is not responsible for the losses suffered by the User when making payments that are not in accordance with the billing amount listed on the payment page.
The user fully understands and agrees that the invoice issued is in the name of the Seller.
The price of food contained in the Site/Application is the price set by the Seller.
The User understands and agrees that the error in pricing and other information caused by not updating the Site/Application due to the browser/ISP used by the User is the User's responsibility.
The User understands and agrees that any problems and/or disputes that occur due to disagreements between the Seller and the User regarding the price are not Frea's responsibility.
By placing an order through Frea, the User agrees to pay the total fee to be paid as stated on the payment page, which consists of the price of Food, and other costs that may arise and will be described explicitly on the payment page.
Frea currently only serves digital food buying and selling transactions in Rupiah currency.
Food delivery is addressed to the address registered when the User checks out. After the User has checked out, the User cannot change the delivery address.
Food delivery to the User will be made through a delivery service provider / Partner that has been determined by Frea.
Any provisions relating to the food delivery process are the full authority of the delivery service provider.
The user understands and agrees that any problems that occur during the food delivery process by the delivery service provider are the responsibility of the delivery service provider / Partner, not Frea's responsibility.
I. Disclaimer of Warranty and Limitation of Liability
Frea is a web portal company that provides a platform in providing services to Users to be able to become a Seller or simply buy food on the Site/Application. Thus, the transactions that occur are transactions between Users, so that the User understands that Frea's proportional liability limit is as a web portal service provider.
Frea always strives to keep the Site/App safe, convenient and functioning properly, but Frea cannot guarantee continuous operation or access to the Site/App can always be perfect. Information and data in the Site/Application may not occur in real time.
The User agrees that by utilizing the Site/Application at the User's own risk, and the Site/Application is provided to the User on an "AS IS" and "AS AVAILABLE" basis.
To the extent permitted by applicable law, Frea (including the Parent Company, directors and employees) is not responsible, and the User agrees not to hold Frea responsible, for any damage or loss (including but not limited to loss of money, reputation, profits, , or other intangible loss) resulting directly or indirectly from:
User's use or inability to use the Site/Application.
Prices, shipping or other instructions available on the Site/App.
Delays or interruptions in the Site/Application.
Negligence and losses incurred by the User.
Food quality, including but not exception, safe consumption times indicated by the Seller.
Infringement of Intellectual Property Rights.
Disputes between Users.
Defamation of other parties.
Any glitches, bugs, errors or inaccuracies in the Site/App.
Damage to User's hardware from using the Site/Application.
Enforcement actions taken with respect to User accounts.
There are hacking actions carried out by third parties to User accounts.
If the Seller has a dispute with one or more other Users, the Seller releases Frea (including the Parent Company, Directors and employees) from claims and demands for damages and losses (actual and implied) of every kind and nature, known and unknown, which arising out of or in any way connected with the dispute. Thus, the Seller intentionally waives all legal protections (contained in the law or other legal regulations) which will limit the scope of this release provision.
Seller will indemnify Frea and hold Frea (including the Parent Company, directors and employees) from any claims or demands, including reasonable legal fees, made by third parties that arise in the event that Seller violates this Agreement, use of the Site/ Improper application and/or Seller's violation of the law or the rights of third parties.
These Terms and Conditions will be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law rules. Seller agrees that any legal action or dispute that may arise from, relate to, or be in any way in connection with the Site/Application and/or these Terms and Conditions will be resolved exclusively within the jurisdictions within Frea's jurisdiction.
These Terms and Conditions may be changed and/or updated from time to time without prior notice. Frea recommends that the Seller read carefully and check this Terms and Conditions page from time to time for any changes. By continuing to access and use the Site/Application, the Seller is deemed to have agreed to the changes in these Terms and Conditions.
